Terms of Service

1. Acceptance of Terms

By engaging Syntronix Solutions for any service, accessing our website, or entering into a service agreement, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services Offered

Syntronix Solutions provides the following services: SaaS Consulting — strategic advisory for software-as-a-service businesses; Custom Development — bespoke software development tailored to client specifications; Managed Hosting — infrastructure provisioning, monitoring, and maintenance; White Labeling — licensing of Syntronix-developed platforms under client branding. The scope, deliverables, and pricing for each engagement are defined in the applicable statement of work or service agreement.

3. Client Responsibilities

Clients are responsible for providing accurate and timely information required to deliver the agreed services. Clients must designate a point of contact with authority to provide approvals and feedback. Delays caused by late feedback, unavailability of client resources, or incomplete information may affect delivery timelines and are not the responsibility of Syntronix Solutions.

4. Intellectual Property

All work product, source code, designs, and deliverables developed by Syntronix Solutions remain the intellectual property of Syntronix Solutions until full payment has been received. Upon receipt of full payment, ownership of custom-developed deliverables transfers to the client as specified in the service agreement. White-label licenses granted by Syntronix Solutions are non-exclusive and non-transferable. Clients may not sublicense, resell, or reassign white-label rights without prior written consent.

5. Payment Terms

Invoices are due within 30 days of issuance (Net 30) unless otherwise agreed in writing. Late payments may incur interest at 1.5% per month on the outstanding balance. No refunds are issued for services already rendered. Disputed charges must be raised in writing within 14 days of invoice date.

6. Limitation of Liability

Syntronix Solutions shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our services. Our total aggregate liability for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by the client in the three months preceding the claim.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the service relationship for a period of three years. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

8. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, the client is responsible for payment of all services rendered up to the termination date. Syntronix Solutions may suspend or terminate services immediately in the event of non-payment or material breach of these terms.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
